1. About these Terms

  1. These Terms govern your use of the Website and any content, downloads, and services made available through it.
  2. If you purchase a paid plan for the JiffyTrade plugin, your purchase is processed via Freemius (see Section 6), and additional terms apply (including the Freemius End User License Agreement (“Freemius EULA”) and related policies).
  3. By using this Website, you agree to these Terms. If you do not agree, do not use the Website.

2. Who we are

  1. The Website and the JiffyTrade plugin are provided by Ben Newton (“Vendor”).
  2. We are based in the United Kingdom (UK).

3. Definitions

  • “Plugin” means the WordPress plugin product branded as “JiffyTrade – Business Manager for Trades”.
  • “Free Version” means the version distributed via WordPress.org and/or other free distribution channels.
  • “Pro Version / Paid Features” means premium functionality made available under a paid license.
  • “Freemius” means Freemius, Inc., who acts as an authorised reseller and “merchant of record” for purchases.
  • “You / your” means the user of the Website and/or the Plugin.

4. Website use

  1. You may use the Website for lawful purposes only.
  2. You must not:
    • attempt to gain unauthorised access to the Website, servers, or related systems;
    • disrupt or interfere with the Website (including via automated requests, scraping at harmful volumes, or malicious code);
    • use the Website to transmit malware, spam, or unlawful content.

5. Content on the Website

  1. We may provide product information, documentation, FAQs, changelogs, marketing pages, and links to third-party services.
  2. We make reasonable efforts to keep information up to date, but do not guarantee the Website content is always accurate, complete, or current.

6. Payments, billing, and “merchant of record” (Freemius)

  1. We do not process payments on this Website. Purchases of the Plugin’s paid plans are processed via Freemius.
  2. Freemius is the authorised reseller and “merchant of record” for purchases of the Plugin, meaning Freemius handles checkout, payment processing, tax handling (where applicable), and billing-related records for those transactions.
  3. Your purchase, billing, subscription management, trials, renewals, and payment method handling are governed by:
    • the Freemius EULA and Freemius policies presented during checkout; and
    • any applicable plan details shown at checkout (price, billing cycle, included sites, etc.).
  4. Where this Website links to Freemius checkout or Freemius customer portals, those pages are operated by Freemius and subject to their terms and privacy practices.

7. Refunds, cancellations, trials, and renewals

  1. Refund eligibility and subscription rules are governed by the Freemius EULA and the checkout terms.
  2. Important: Renewal payments may be non-refundable (as described in the Freemius EULA / checkout terms).
  3. You can typically manage or cancel subscriptions via the Freemius customer portal (as provided in Freemius communications and purchase confirmations).

8. Plugin licensing and WordPress.org / GPL compatibility

  1. The Free Version distributed via WordPress.org is licensed under the GNU General Public License (GPL) (or a compatible GPL license), and nothing in these Terms is intended to limit your rights under the GPL.
  2. For the Pro Version, access to paid features, updates, and support may require a valid paid license and may be controlled by licensing/activation mechanisms.
  3. If there is a conflict between these Terms and the GPL for the Free Version, the GPL will prevail for those GPL-covered components.

9. Support and maintenance

  1. Freemius is responsible for first-line billing/checkout matters as merchant of record.
  2. Plugin support and maintenance (bug fixes, troubleshooting, feature questions) are provided by us, subject to:
    • your plan level (support may be limited or unavailable for free users); and
    • fair use (see Section 10).
  3. We do not guarantee response times, but we aim to respond reasonably and professionally.

10. Fair use of support and services

  1. Support is intended for normal, reasonable use.
  2. We may limit, refuse, or suspend support where:
    • requests are abusive, excessive, or unrelated to the Plugin;
    • you are using modified versions of the Plugin that materially change behaviour;
    • the issue is caused primarily by third-party conflicts outside our reasonable control (themes/plugins/server misconfiguration), though we may still try to help.

11. Third-party services (Analytics, telemetry, external services)

  1. The Website may use third-party services to operate and improve the Website and product experience, such as:
    • Google Analytics (or similar analytics) to measure traffic and improve pages;
    • security, performance, and hosting providers;
    • embedded content (e.g., videos, fonts, or scripts) where used.
  2. These services may use cookies or similar technologies. For details on what we collect and why, see our Privacy Policy (Section 12).

12. Privacy, cookies, and contact forms

  1. Our handling of personal data is explained in our Privacy Policy (available at: https://jiffytrade.co.uk/policy).
  2. Contact forms / email: If you contact us (e.g., via a contact form or email), we will receive the information you submit (such as name, email address, and message) and use it to respond and provide support.
  3. We do not store payment card details on this Website. Payment details are handled by Freemius and its payment processors under their policies.

13. Availability and changes

  1. We may update, change, suspend, or discontinue any part of the Website at any time.
  2. We may update these Terms from time to time. The “Effective date” at the top indicates when changes apply. Continued use of the Website after changes means you accept the updated Terms.

14. Intellectual property and branding

  1. The “JiffyTrade” name, logos, and branding elements are owned by us (or licensed to us).
  2. You may not use our branding in a way that suggests endorsement or affiliation without permission.
  3. WordPress is a trademark of the WordPress Foundation. This Website and Plugin are not endorsed by or affiliated with the WordPress Foundation.

15. Disclaimers

  1. The Website and any materials provided are offered “as is” and “as available”.
  2. We do not guarantee that the Website will be uninterrupted, error-free, or secure.
  3. The Plugin is designed to help with business administration (quotes, invoices, PDFs, customer management, reporting), but you are responsible for:
    • verifying outputs (e.g., totals, tax/VAT, invoice correctness);
    • compliance with your local laws, accounting standards, and tax rules; and
    • backups and operational usage decisions.
  4. Nothing on the Website is professional legal, tax, or accounting advice.

16. Limitation of liability

  1. To the maximum extent permitted by law, we are not liable for indirect, consequential, or special losses, including loss of profits, revenue, business, data, or goodwill.
  2. Our total liability relating to the Website (and any free materials provided through it) is limited to the amount you paid us for Website services in the relevant period, and may be £0 where no payment was made to us directly.
  3. Where purchases are made through Freemius, billing-related liabilities are governed by the Freemius EULA and applicable policies.

17. Indemnity

You agree to indemnify us against claims arising from your unlawful use of the Website or your breach of these Terms.

18. Governing law and jurisdiction

  1. These Website Terms are governed by the laws of England and Wales.
  2. The courts of England and Wales will have exclusive jurisdiction over disputes relating to these Terms.
  3. Note: Purchases processed by Freemius may be governed by the Freemius EULA (which may specify a different governing law for purchase-related disputes).
